License Agreement

1. Definitions

• "Software" means MrMoustache software products and audio plugins, including related documentation and updates.
• "Use" means storing, loading, installing, executing, or displaying the Software as intended under this Agreement.
• "Licensee" or "you" means the individual person accepting this Agreement.

2. License Grant and Scope

MrMoustache grants you a revocable, non-exclusive, non-transferable license to install and Use the Software for your personal or commercial audio production. This license is granted to you as an individual, not to a company or organization.

You may install the Software on up to five (5) computers that you own or control. The license is for one natural person and may not be used concurrently by multiple users. Organizations, studios, schools, and labs need separate licenses.

You may make a reasonable number of backup copies for archival purposes only.

3. Ownership

The Software is licensed, not sold. MrMoustache retains all rights, title, and interest in and to the Software and all copies, including all code, graphics, sounds, and documentation. No rights are granted except as expressly stated. Any music or audio content you create using the Software is entirely yours.

4. Restrictions

You will not:

• Rent, lease, lend, sell, sublicense, host, or make the Software available to third parties, including as a service.
• Modify, translate, adapt, reverse engineer, decompile, or disassemble the Software, except where such restrictions are prohibited by law.
• Remove or alter proprietary notices or technological protection measures, or attempt to circumvent license checks.
• Separate or reconfigure components to exceed the scope of this license.
• Use the Software, its user interface, or its outputs to train or improve any machine learning or AI models, or allow others to do so.
• Share your license key with others or make it publicly available.

5. Trial Version

Certain plugins may be available as a trial version for a limited period of fourteen (14) days. The trial version provides full functionality. After the trial period expires, you must purchase a license to continue using the Software. Trial licenses are not transferable.

6. Refunds and Right of Withdrawal

By completing the purchase, you give your express consent for the performance of the contract to begin immediately and acknowledge that the product is delivered as a digital download. In accordance with applicable consumer protection laws, you thereby waive your right of withdrawal. Since all products are delivered as digital downloads, refunds, returns, or exchanges are not possible once the download link has been provided.

7. Updates and Changes

Updates, upgrades, patches, and fixes (collectively, "Updates") may modify or remove features. Updates are part of the Software and are governed by this Agreement. MrMoustache has no obligation to provide Updates and may offer paid upgrades for new versions.

8. Data and Privacy

Information about what we collect and how we use it is described in our Privacy Policy. If you do not agree, do not use the Software.

9. Third-Party Components

The Software may include third-party libraries or open-source components. Their respective licenses apply to those components. Notices are provided in the Software or on our website.

10. Transfers

This license is non-transferable and may not be resold or assigned without our prior written consent. Trial and beta licenses are not transferable. Any attempted transfer in violation of this section is void.

11. Warranty Disclaimer

To the maximum extent permitted by law, the Software is provided "as is" and "as available" with all faults. MrMoustache disclaims all warranties, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, MrMoustache will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, business interruption, or cost of substitute goods or services, even if advised of the possibility. In no event will the total liability of MrMoustache for all claims exceed the amount you paid for the Software that gave rise to the claim.

13. Indemnification

You will indemnify and hold harmless MrMoustache from third-party claims, damages, and costs, including reasonable legal fees, arising out of your breach of this Agreement or misuse of the Software.

14. Termination

This Agreement is effective until terminated. MrMoustache may terminate it immediately if you materially breach it. Upon termination, you must stop using the Software and destroy all copies. MrMoustache may disable license credentials to enforce termination.

15. Governing Law and Venue

This Agreement is governed by the laws of Spain. The exclusive venue for any dispute is the courts of Barcelona, Spain, and you consent to personal jurisdiction there.

16. AI and Text & Data Mining Reservation

As the copyright holder of the Software and all associated content, MrMoustache hereby makes a reservation of rights for the purpose of all activities constituting text and data mining. This reservation applies to all works in which MrMoustache holds copyright, to the extent that such works comprise, in whole or in part, any type of disseminated content. Any acts of text and data mining carried out in relation to content that includes works in which MrMoustache holds copyright, without obtaining prior written authorization, shall constitute an infringement of MrMoustache's rights.

17. General

This is the entire agreement regarding the Software and supersedes prior understandings. If any provision is held unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. We may provide notices electronically to the email you provided, within the Software, or on our website.
